Terms & Conditions

1. Introduction

OP Studio LLC provides professional creative services specializing in UX motion design, product motion systems, and related visual communication for digital products. These Terms & Conditions govern all work performed by OP Studio LLC (“Studio,” “we,” “us”) for clients (“Client,” “you”) unless otherwise agreed to in writing.

By engaging our services, you agree to these Terms & Conditions.

2. Services

Services may include, but are not limited to:

  • UX motion frameworks and systems

  • Motion studies and interaction prototyping

  • Vision, concept, and product storytelling videos

  • Marketing and product-focused motion design

  • Consulting and creative direction related to motion design

Specific deliverables, scope, timelines, and formats will be outlined in a written proposal, statement of work (SOW), or agreement approved by both parties.

3. Project Proposals and Approvals

All work begins after:

  • A written proposal or SOW has been approved, and

  • Any required upfront payment has been received.

Any changes to the agreed scope, timeline, or deliverables must be approved in writing and may result in additional fees or schedule adjustments.

Client approvals are required at designated milestones. Delays in feedback or approvals may impact delivery timelines and do not constitute grounds for refunds.

4. Fees and Payments

Fees are outlined in the approved proposal or SOW and may be structured as:

  • Project-based fees

  • Day, weekly, or monthly rates

  • Retainer-based engagements

Unless otherwise stated:

  • Invoices are due within 15 days of issuance.

  • Late payments may incur a reasonable late fee.

  • Work may be paused if payment is overdue.

The Client is responsible for all applicable taxes, excluding taxes based on Studio’s income.

5. Revisions

Unless otherwise specified, proposals include a reasonable number of revision rounds aligned with the project scope.

Revisions are defined as refinements to approved work, not new concepts or scope changes. Additional revisions or out-of-scope requests may be billed at the applicable rate.

6. Client Responsibilities

The Client agrees to:

  • Provide timely feedback, content, and assets necessary to complete the project

  • Ensure they have rights to all materials provided

  • Designate a single point of contact when possible

Delays caused by incomplete or late Client materials may affect timelines and delivery without penalty to Studio.

7. Intellectual Property

Unless otherwise agreed in writing:

  • Final deliverables are licensed to the Client upon full payment.

  • Studio retains ownership of all preliminary work, concepts, motion studies, and unused assets.

Studio reserves the right to display completed work for portfolio, promotional, and educational purposes unless explicitly restricted in writing.

Third-party assets (including fonts, music, or plugins) are subject to their respective licenses and may require separate purchase by the Client.

8. Cancellations and Refunds

Either party may terminate a project with written notice.

If a project is canceled:

  • The Client is responsible for payment for all work completed up to the cancellation date.

  • Deposits or upfront payments are non-refundable.

  • No refunds are issued for completed work or reserved time.

9. Confidentiality

Both parties agree to treat confidential or proprietary information shared during the project as confidential and not disclose it to third parties without prior consent.

This obligation does not apply to information that is publicly available or independently developed outside the project.

10. Limitation of Liability

Studio will not be liable for indirect, incidental, or consequential damages arising from the use of delivered work. Liability, if any, is limited to the amount paid for the specific services provided.
